The 6 Non-Negotiable Requirements for UK Clients
Before shortlisting any Indian accounting firm, these six requirements are absolute. A firm that cannot satisfy all of them is not suitable for a UK client regardless of how competitive its pricing is.
| Requirement | Why It Matters for UK Clients | How to Verify |
|---|---|---|
| ICAI registration | Confirms regulated CA status — India's statutory accounting body | Search firm name on icai.org; request membership number |
| UK GDPR Data Processing Agreement | Legal requirement for sending personal data to India | Ask for draft DPA before engagement; must include SCCs or IDTA |
| Xero or Sage experience | UK businesses predominantly use these two platforms | Ask for Xero/Sage certification or named UK clients using the platform |
| VAT return preparation | VAT is complex and scheme-specific; errors attract HMRC attention | Ask which VAT schemes they have handled: standard, flat rate, partial exemption |
| Making Tax Digital knowledge | MTD is mandatory for VAT; MTD ITSA is rolling out for income tax | Ask how they handle the MTD submission split (they prepare; you submit) |
| UK client references | UK compliance rules differ significantly from India and even from Australia | Ask for one reference you can contact; a firm with no UK clients is untested |
What ICAI Registration Actually Means
ICAI (Institute of Chartered Accountants of India) is India's statutory accounting body, equivalent in function to ICAEW in England and Wales. Membership is not optional for practising CAs — every ICAI member has completed:
- 3 years of supervised articleship at a CA firm
- Multi-level examinations covering financial accounting, auditing, direct and indirect taxation, company law, and strategic management
- Continuing Professional Education (CPE) requirements post-qualification
ICAI members are bound by a code of ethics, required to maintain professional indemnity insurance, and subject to disciplinary proceedings including deregistration for misconduct. This gives UK clients a formal accountability structure that freelance bookkeepers — Indian or UK-based — do not have.
UK GDPR — The Agreement You Must Have Before Sharing Any Data
Under UK GDPR and the Data Protection Act 2018, sending personal data to India requires appropriate transfer safeguards. India does not currently have a UK adequacy decision, meaning a transfer mechanism must be in place. For bookkeeping engagements, the required document is a Data Processing Agreement (DPA) that incorporates either:
- Standard Contractual Clauses (SCCs): EU/UK-approved contract terms that impose GDPR-equivalent obligations on the Indian firm
- UK International Data Transfer Agreement (IDTA): UK-specific version approved by the ICO post-Brexit
A firm that refuses to sign a DPA, or that offers a generic confidentiality agreement instead, is not complying with UK law. The ICO can fine data controllers up to £17.5 million or 4% of global annual turnover for serious GDPR breaches. Do not proceed without a proper DPA.
At Sharma Jyoti and Co, we provide a UK GDPR-compliant Data Processing Agreement as a standard part of every UK engagement. This is prepared before any client data is shared.
Software Experience — Why Xero and Sage Matter
UK small businesses predominantly use three platforms: Xero, Sage, and QuickBooks Online. An Indian firm with only MYOB or Tally experience — common in India-domestic or Australian markets — is not a good fit for a UK client. The platform matters because:
- VAT coding and MTD submission work differently in each platform
- RTI payroll integration varies between Xero Payroll, Sage Payroll, and QuickBooks Payroll
- UK-specific tax codes (T0, T1, T9 in Sage; Standard Rate, Zero Rated, Exempt in Xero) must be used correctly for MTD compliance
- Bank feeds, reconciliation workflows, and supplier invoice matching all differ by platform
Ask the firm: "Which UK clients are you currently serving in Xero and Sage?" A firm with genuine UK experience can answer this immediately. A firm learning on the job with your books is a risk.
Red Flags — When to Walk Away
| Red Flag | What It Signals |
|---|---|
| Cannot provide an ICAI membership number | Not regulated — no accountability structure |
| Refuses to sign a Data Processing Agreement | UK GDPR non-compliance — legal risk for you |
| No UK client references | Untested on UK compliance rules |
| Prices below £150/month for full bookkeeping | Too cheap to be sustainable — staff quality or scope will be compromised |
| Asks for 3–6 months payment upfront | Cash flow issue or high client turnover |
| Communicates only via WhatsApp, no formal agreement | No professional accountability framework |
| Cannot explain the MTD submission split | Has not worked with UK VAT-registered clients before |
| Offers to submit your VAT return directly to HMRC | Does not have access to your HMRC account — claim is false |
Questions to Ask Before Signing Any Agreement
Use this list when evaluating any Indian accounting firm for UK bookkeeping work:
- Can you provide your ICAI firm registration number and the CA's membership number?
- Will you sign a UK GDPR-compliant Data Processing Agreement with Standard Contractual Clauses before we share any data?
- Which UK clients are you currently serving, and can I contact one as a reference?
- Which VAT schemes have you handled — standard rate, flat rate, cash accounting, partial exemption?
- How does the MTD VAT submission work — who presses submit?
- Do you handle RTI payroll submissions? Which payroll software?
- What is your document management process — Dext, shared drive, or another method?
- What are your turnaround times for monthly bookkeeping and quarterly VAT returns?
- What happens if the assigned bookkeeper leaves? Is there backup cover?
- Do you carry professional indemnity insurance?
