These Terms of Service ("Terms") govern the use of the website jsoutsourcedbookkeeping.com and the professional services provided by Sharma Jyoti & Co, an ICAI-registered Chartered Accountant firm based in India ("we", "us", "our", "the Firm"). By using our website or engaging our services, you agree to these Terms in full.
For individual client engagements, a separate written Engagement Letter will be issued. In the event of any conflict between these Terms and the Engagement Letter, the Engagement Letter prevails.
Sharma Jyoti & Co provides outsourced accounting and bookkeeping services to businesses in the United States, United Kingdom, Australia, Canada, and other countries, including:
The specific scope of services, deliverables, timelines, and fees for each engagement are set out in the Engagement Letter agreed between us and the client prior to commencement of work.
Important — No Lodgement: Sharma Jyoti & Co is a bookkeeping and accounting preparation firm. We do not lodge tax returns, BAS returns, VAT returns, GST returns, or any other statutory filings on behalf of clients. All lodgements and filings are the sole responsibility of the client or their locally licensed tax agent, CPA, BAS agent, or accountant. Tax returns and filings prepared by us are prepared solely on the basis of information provided by the client.
Professional Standards: Our team comprises qualified Chartered Accountants registered with the Institute of Chartered Accountants of India (ICAI). We operate in accordance with ICAI's Code of Ethics and professional standards. We do not provide legal advice — clients should consult a qualified legal professional for legal matters.
An engagement begins when both parties have signed the Engagement Letter and the initial invoice (if any) has been paid. Prior to commencement, we will:
Onboarding is typically completed within 3–5 business days of the Engagement Letter being executed. Clients are encouraged to enable two-factor authentication (2FA) on all shared accounting platforms (Xero, MYOB, QuickBooks, FreshBooks) before granting access — this protects both parties.
To enable us to deliver services effectively, you agree to:
You remain solely responsible for the accuracy and completeness of information you provide to us, and for all decisions made in reliance on our deliverables. We are not responsible for errors or omissions arising from inaccurate, incomplete, or late information provided by you.
Fees are set out in the Engagement Letter and quoted in the currency agreed between the parties (USD, AUD, GBP, CAD, or INR). Unless otherwise stated in the Engagement Letter:
Non-refundable fees: All fees are non-refundable unless otherwise required by applicable law or expressly agreed in writing. No pro-rated refund is payable for mid-period cancellation or termination.
We treat all client financial and business information as strictly confidential. We will not disclose your information to any third party except:
You agree to keep confidential our methodologies, internal processes, pricing structures, and any proprietary tools or templates we share with you.
These confidentiality obligations survive the termination of any engagement and remain in force indefinitely.
We implement industry-standard technical and organisational security measures to protect client data, including encrypted transmission channels, access controls, and secure cloud storage. All team members with access to client data are subject to confidentiality agreements.
Data return on exit: Within 30 days of termination of an engagement, we will provide you with all completed work product and your financial data in a standard, exportable format (CSV, PDF, or the native format of the accounting software used). After handover is confirmed in writing, we will securely delete or destroy our copies of your data in accordance with our Privacy Policy and the Data Processing Agreement.

Work product we produce specifically for your engagement (reconciliations, reports, financial statements) becomes your property upon full payment of all outstanding fees. Our underlying templates, methodologies, processes, and know-how remain our exclusive property at all times.
Our total aggregate liability to you in connection with any engagement — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — is limited to the total fees paid by you to us in the three calendar months immediately preceding the event giving rise to the claim.
We are not liable for:
Nothing in these Terms limits liability for fraud, wilful misconduct, or death or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.
You agree to indemnify, defend, and hold harmless Sharma Jyoti & Co and its principals, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
Neither party will be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond that party's reasonable control, including but not limited to:
The affected party will notify the other as soon as reasonably practicable and will use reasonable efforts to resume performance. If the force majeure event continues for more than 30 consecutive days, either party may terminate the affected engagement by written notice without liability, subject to payment for all work completed up to the date of termination.
Either party may terminate an engagement by giving 30 days' written notice. We may terminate immediately upon written notice if:
On termination for any reason: (a) all fees for work completed up to the termination date become immediately payable; (b) no refund is payable for any pre-paid fees covering the period after termination; and (c) we will return your data as described in Section 6 above within 30 days of termination.
We warrant that we will perform services with reasonable care and skill consistent with ICAI professional standards applicable to Chartered Accountant firms. We do not warrant that our services will be error-free — accounting inherently involves professional judgment, and all deliverables should be reviewed by you and your locally licensed advisors before use or submission.

We reserve the right to block access to users who violate these conditions and to report illegal activity to appropriate authorities.
We prefer to resolve disputes amicably. The following three-stage process applies to any dispute arising out of or in connection with these Terms or any engagement:
Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction to protect intellectual property rights or confidential information pending resolution of a dispute.
These Terms and all engagements between us are governed by and construed in accordance with the laws of India. Subject to the arbitration clause in Section 14, the courts of India have exclusive jurisdiction over any dispute arising under these Terms.
Where applicable law in the client's jurisdiction (United States, United Kingdom, Australia, or Canada) mandates additional protections that cannot be contractually excluded, those protections apply to the extent required by law.
Sharma Jyoti & Co provides services as an independent contractor. Nothing in these Terms or any Engagement Letter creates a partnership, joint venture, employment relationship, or agency between us and the client. Neither party has authority to bind the other to any obligation or agreement with any third party.
You may not assign, transfer, or sub-license any of your rights or obligations under these Terms or any Engagement Letter without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or reorganisation of our firm, provided that such successor entity agrees in writing to be bound by these Terms.
These Terms, together with the Privacy Policy, the Engagement Letter, and any executed NDA or Data Processing Agreement, constitute the entire agreement between the parties and supersede all prior understandings, representations, and agreements relating to the subject matter.
Amendments: No amendment to an Engagement Letter or to these Terms (as they apply to an active engagement) is effective unless made in writing and signed by authorised representatives of both parties. Verbal agreements to change scope or fees are not binding.
Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
No waiver: A failure or delay by either party to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.
We may update these Terms from time to time to reflect changes in our services, applicable law, or industry practice. The effective date at the top of this page reflects the date of the most recent update. We will notify active clients of material changes by email at least 14 days before the changes take effect. Continued use of our services after the effective date of any update constitutes your acceptance of the revised Terms.
